ARTICLE 3: PURPOSE OF THE FOUNDATION:
Our country; In order to strengthen the ties of our country with our glorious ancestors, to benefit our country and people in the consciousness of unity and brotherhood, voluntary educators and philanthropists come together, to revive the culture of külliye and madrasah established by our ancestors in the past, to spread this culture both in spiritual sciences and worldly sciences, To raise competent young people, heartfelt educators and great scholars who love their homeland, flag and country, who are away from terrorism, to conduct and disseminate all kinds of scientific research from the right sources, to support, encourage and provide all kinds of support for their national, spiritual, moral, moral and customary development, to establish educational institutions in this direction, to provide material and moral support to those who receive education and to make them benefical individuals to society. ARTICLE 4: ACTIVITIES OF THE FOUNDATION:

a) Educational and Cultural Activities : To keep the positive effects of education and training on the individual and society on the agenda, to ensure the creation of educational awareness, to follow the educational practices and legislation in the world and in our country, to carry out studies on family and school education, parent and child education, to build charitable institutions such as mosques, masjids, meşruta, soup kitchens, nursing homes, dormitories, to provide assistance to other real and legal persons operating for these purposes, to publish works prepared on scientific subjects, to open book sales and display places, Establishing printing houses, publishing newspapers, magazines and similar publications, conducting researches, surveys, preparing reports, keeping statistics, organizing educational and instructive panel, seminar, conference programs, performing TV, radio programs, film and documentary screenings, conducting studies in handicrafts, calligraphy, illumination, carving, embroidery, marbling, poetry, literature, web-graphic design and similar fields, organizing competitions, shows and exhibitions, conducting foreign language, computer and other technological and professional studies. b) Economic Activities : To carry out informative studies on economic developments in the world and in our country, to conduct research, to prepare reports and statistics, to conduct research on professional branches, to analyze the economic potential of the city and to investigate ways to increase its potential, to make contacts with institutions, organizations, civil organizations, to establish enterprises, companies, to became a partner in established ones in order to generate income for the Foundation, to organize seminars, conferences, panels, top open courses and workshop, to organize organizations such as bazaars.
c) Legal Activities : To carry out activities to ensure that legal awareness is understood byu individuals in society, to follow the developments and changes in the field of domestic law and international law, international conventions, to ensure the formation of individual and social rights awareness, to ensure the development of consumer awareness and rights, to ensure the observance of children's and women's rights, the rights of the disabled, business and working life and professional rights, to prevent animal rights violations, to ensure the development and establishment of environmental rights and awareness. To make contacts with universities, institutions, organizations and non-governmentael organizations related to the subject, to contribute to and support the studies carried out in the field, to organize seminars, conferences, panels, symposiums, etc., to organize courses, to establish wotking units.

e) Youth and Sports Activities : To ensure that youth and society are free from harmful occupations and habits, to keep the power of sports in terms of human body and social dynamism, communication, solidarity spirit, cooperation and teamwork in the society on the agenda, to create a synergy environment that will be prepared by the sense of competition, to raise hardworking, dynamic, benefical to their family and environment, moral, honest, with a sense of responsibility and duty, believing in team spirit, disciplined individuals who prioritize social benefit. To investigate the adequacy of sports fields, to ensure that they are developed and made available for the widespread use of the public, To fight against all kinds of addicitions such as drugs, alcohol, gambling and smoking, to organize informative and warning activities and campaigns for all segments of the public, including primary and high schools. To be in contact and solidarity with relevant institutions, organizations, non-governmental organizations and universities. f) Social Assistance and Solidarity Activities: To investigate the destructive effects of economic crises and the imbalance in the distribution of national income and the lack of education, natural disasters, wars and similar negativies, economic destruction and poverty on individuals and society, to prepare reports, to prepare statistics. To reduce the destruction, to carry out informative activities on the subject to keep the spirit of social solidarity alive, to organize aid campaigns on various issues such as housing, medicine, health, food, clothing, household goods, fuel, education, marriage (providing economic support to orphans, orphans and poor people to get married) to help street children, young people in the grip of drugs and to provide services at the point of treatment, to carry out activities to meet the problems and needs of sick, elderly and disabled individuals. g) Health activities : To contribute to the formation of a society consisting of individuals with improved mental and physical health by creating health awareness in society, emphasizing the importance of individual, family and community health. To carry out informative studies on mental, physical and public health, to conduct health screenings, to organize blood donation campaigns, to fight against infectious diseases, to conduct research and studies on occupational diseases, to organize activities that will contribute to the spiritual development of people, to produce solutions for the social life and individual problems of disabled individuals. To conduct research in the field, to prepare reports and statistics. To inform individuals about the use of drugs, to carry out informative studies on the effects of sports, education, environmental conditions, technological applications, professional working environments, harmful substance addiction such as drugs, unbalanced nutrition, poor working conditions on mental, physical and public health. To work to produce projects that will create solutions to combat drug addiction and drug addiction, which have increased in recent years, especially in our country, and to establish rehabilitation centers on this subject. h) Tourism Activities : Researching the effects of tourism on the country and the city, organizing overnight and day trips, picnics, travels and camps in Turkey and abroad. To prepare touristic and historical, cultural and spiritual tissue inventories, to ensure the protection of cultural and tourism assets, to carry out activities to inform the public, to follow the legislation and practices related to the field, to identify and prevent all kinds of practices that harm tourism. To be in contact and solidarity with relevant institutions, organizations and organizations. To establish and operate economic enterprises that will carry out tourism activities for the benefit of the public when necessary.
ARTICLE 5: ACTIONS AND TRANSACTIONS THAT THE FOUNDATION CAN TAKE IN ORDER TO REALIZE ITS PURPOSE:
To own and use movable and immovable properties by donation, bequest, purchase and lease in order to achieve the purpose of the foundation, to sell, transfer, relinquish the properties they own in accordance with the laws and provisions regarding foundations, to receive and spend their income, to use one or more immovable properties or income that enter the foundation's assets in investment, To acquire property through donations and bequests, purchases and other means provided that they do not contradict the purpose and service subjects of the foundation, to accept property rights such as easement, usufruct, usufruct, succa, top, pledge, mortgage of immovable property, to use these rights, to take all kinds of guarantees including pledge and mortgage of movable and immovable property for contracts to be established for the revenues that are or will be, Accepting valid bank sureties, borrowing money, granting sureties, pledges, mortgages and other guarantees when necessary to realize the purposes and service subjects of the foundation, generating income from all kinds of projects carried out and to be carried out in accordance with the purposes and subjects of the foundation, and economic enterprises that will operate according to ordinary business principles in order to provide income to the foundation, To establish companies, to participate in the established ones and to operate them directly or to have them operated by an operator under its supervision, to enter into ventures, disposals, property acquisitions, construction and similar contracts deemed useful and necessary for the realization of one or all of the foundation's purposes and service subjects 48 of the Turkish Civil Code.As stated in Article 48, the Foundation shall not use these powers and revenues for purposes prohibited by the Turkish Civil Code.
ARTICLE 6: Foundation's foundation assets;
Mehmet Salih Aydın, one of the founders, donated 53000 m2 of the 73000 m2 field type immovable registered on parcel 2196 in 8-12 plan to the foundation. The field is located in the land at the address of Nakkaş Village Osman Bridge Mevkii Çatalca /ISTANBUL.

ARTICLE 8:DUTIES AND POWERS OF THE BOARD OF TRUSTEES:
The board of trustees is the highest decision-making body of the foundation. The powers of the board of trustees are shown below: The powers and duties of the Board of Trustees are as follows.
a) Appointing new members to the vacant Board memberships.
b) To elect the members of the Board of Directors
c) Electing the members of the Audit Board
d) To examine the activity report, balance sheet, income and expense accounts prepared by the members of the Board of Directors and to release the Board of Directors.
e) To dismiss the members of the Board of Directors and the Board of Auditors when necessary.
f) It audits whether the activities of the Foundation are suıfficient ro relaize the objectives, prepares reports for the deficiencies seen, submits them to the Board of Directors and requests the necessary action to be taken.
g) It makes recommendations regarding the work of the Foundation.
h) To make amendments to the foundation deed if deemed necessary.
i) It takes measures to increase the assets of the Foundation and helps to relaize its purpose.
The board of trustees consists of the founders of the Foundation. The board of trustees shall hold its first meeting within 30 days following the registration of the Foundation, and a chairman shall be elected within the board. In the event of the death, resignation or other reasons of the members of the board of trustees, the vacant memberships shall be appointed with the proposal of the board of trustees and the election of the board of trustees. Foundation managers cannot be suspended from their duties without a court decision. The board of trustees holds its ordinary meeting in March of each year.
The Board of Trustees convenes with one more than half of the total number of members. If the quorum is not reached, the meeting shall be held one week later on the same day and time at the same place. In the second meeting, the meeting quorum cannot be less than one third of the total number of members. The decision quorum of the Trustees is one more than half of the participants of the meeting. In case of equality of votes, the vote of the chairman of the council shall count as two votes.
ARTICLE 9:BOARD OF DIRECTORS:
The Foundation shall be managed by a board of directors consisting of five full and three substitue members elected for two years from among the founding members of the Foundation and from outside, provided that they do not consitute a majority. One of the substitue members shall be called to duty in the place of the member whose membership of the board of directors expires for any reason before the end of his/her term of office.
At the first meeting of the board of directors, the chairman, vice-chairman, general secretary and accountant member are elected and the division of duties is made. A new member is elected by the board of trustees in place of a member whose term of office expires for any reason before the end of the term of office. The board of directors convenes at least once a month. A member of the board of directors who fails to attend (3) consecutive meeting without a valid excuse shall be deemed to have withdrawn from this duty.
The quorum for the meeting is (3) and decisions are taken by the majority of those present. In case of equal votes, the chairman's vote counts as two votes. The decisions taken are written in the notarized decision book and signed.
ARTICLE 10:DUTIES, POWERS AND RESPONSIBILITES OF THE BOARD OF DIRECTORS:
The board of directors is the administrative, representative and executive body of the foundation.
In this capacity, the board of directors:
a)Takes and implements all kinds of decisions in line with the purpose of the Foundation.
b)It ensures that the activities of the Foundation are carried out regularly and efficiently. In this context, it prepares the necessary internal legislation.
c)It carries out the necessary work to evaluate the assets of the Foundation and to provide new financial resources.
d)On behalf of the legal entity of the Foundation, it carries out the necessary initiatives and transactions in legal, financial and other matters before all real and legal persons.
e)Appoints a director to the foundation provided that the duties, powers and responsibilities are clearly determined in advance, may establish a general secretariat of the foundation or similar auxiliary units, and may terminate their duties when necessary
f)It determines the personnel to be employed by the Foundation, appoints them, determines their salaries, and terminates their employment when necessary.
g)Within the framework of the provisions of the relevant legislation, it decides on the opening and closing of branches and representative offices in Turkiye and abroad, and takes the necessary actions in this regard.
h)It follows and controls the accounting affairs of the Foundation, ensures that the income and expenditure tables and balance seheets are prepared at the end of the accounting period and sent to the relevant administration and announced.
i)Keeps the necessary books, questions the annual budget
j)It makes additions and amendments to the foundation deed when necessary.
k)It performs other duties required by the relevant legislation, the foundation deed and the internal legislation of the foundation.
ARTICLE 11: REPRESENTATION OF THE FOUNDATION:
The board of directors represents the Foundation. The board of directors may delegate this representation authority to the chairman and vice chairman of the board of directors. The board of directors may also authorize one or more of its members, one or more of its authorized officers and officers, any one or more of its representatives or representatives to conclude any contract, contract, legal document or deed on the property and account of the foundation within the principles to be specified in general or specific cases and matters. All kinds of expenditure documents and checks belonging to the foundation are signed jointly by the chairman of the board of directors and the accountant.
ARTICLE 12: SUPERVISORY BOARD:
The board of auditors is a body established to audit the activities and organs of the foundation on behalf of the board of trustees. The board of auditors consists of 3 full and 2 substitue members to be elected by the board of trustees for two years from within the board of trustees or from outside, so as not to constitue the majority. The board of auditors conduct its examinations on all books, records and documents. The report to be issued as of the accounting
ARTICLE 13: FOUNDATION REVENUES
The income of the Foundation is shown below.
a) All kinds of conditional and unconditional donations and aids in accordance with the purpose of the Foundation
b) Miscellaneous income from foundation activities
c) Income from economic enterprises, subsidiaries and partnerships
d) Revenues to be generated from the valuation of the Foundation's movable and immovable properties and other assets and rights
ARTICLE 14 : PLACES WHERE FOUNDATION INCOME WILL BE ALLOCATED AND SPENT
At least 2/3 of the gross income of the foundation shall be allocated and spent for the purposes of the foundation and the remainder shall be allocated and spent for management and maintenance expenses, reserves and investments to increase the assets of the foundation.
ARTICLE 15 :OFFICIAL DEED AMENDMENT
Amendments to the foundation deed are possible with the written proposal of the board of directors or at least one-fifth of the founders of the foundation and the approval of at least 2/3 (two-thirds) of the founders of the foundation and the decision to be given by the court.
ARTICLE 16 :HONORARY MEMBERSHIP
Honorary membership may be granted to certain individiuals for their services and outstanding contributions to the Foundation and its objectives upon the proposal of the Board of Directors and the unanimous decision of the Board of Trustees. Honorary membership may be terminated by a majority vote of the Board of Trustees. These members have no voting rights.
ARTICLE 17 :TERMINATON OF THE FOUNDATION
In the event that the foundation is terminated for any reason, the property and rights remaining from the liquidation of debts may be transferred to a foundation with a similar purpose deemed appropriate by the board of directors, provided that the names and locations of the existing facilities are maintained as they are, with a decision to be issued by the court. In the event of the termination of the foundation, if it is understood that there is no benefit in the continuation of the foundation or if it is concluded that the realization of the purposes and subjects of the foundation has become impossible, it may decide to dissolve the foundation with the proposal of 2/3 majority of the board of directors and the approval of 2/3 majority of the founders of the foundation.
